These Terms of Service (“Terms”) govern your use of our website and the services we provide (“Services”). By using the site or purchasing Services, you agree to these Terms.
1) Services and scope
Host Tropic provides website design/development and related services. Specific deliverables, scope, timelines, and pricing are defined in a written proposal, statement of work, invoice, checkout page, or similar agreement (each an “Order”). If there’s a conflict between an Order and these Terms, the Order controls for that engagement.
2) Client responsibilities
You agree to provide timely access to content, branding assets, approvals, and required credentials. Delays caused by missing materials, access, or approvals may shift timelines.
You represent you have the rights to all materials you provide (text, images, logos, trademarks, etc.).
3) Payments, deposits, and refunds
Online payments: We accept online payments through third-party payment processors.
Non-refundable: All payments are non-refundable once work begins, including deposits, setup fees, and milestone payments, except where required by law.
Chargebacks: If you initiate a chargeback for work that has begun, we reserve the right to pause all work and delivery until the dispute is resolved. You agree to contact us first at billing@hosttropic.com to attempt resolution.
Late payments: We may pause work on overdue invoices until payment is received.
Third-party costs: You are responsible for approved third-party costs (hosting, domains, premium plugins, themes, email services, etc.).
4) Revisions and scope changes
Orders typically include a defined scope and revision expectations. Requests outside the agreed scope (additional pages, major layout changes, new features) may require a change order and additional fees and time.
5) Third-party platforms and tools
Your project may rely on third-party products and services (WordPress, plugins, hosting providers, scheduling tools, analytics tools, etc.). Host Tropic is not responsible for third-party outages, changes, pricing, or policy changes.
6) Intellectual property
Your materials: You retain ownership of materials you provide. You grant Host Tropic a limited license to use them to perform the Services.
Deliverables: Unless otherwise stated in an Order, upon full payment, you own the final deliverables created specifically for you. Host Tropic retains ownership of pre-existing materials, templates, libraries, tooling, and know-how used to produce the deliverables.
Portfolio: Unless you request otherwise in writing, you grant Host Tropic permission to display the completed work (and your business name/logo) in our portfolio.
7) Disclaimers
Our site and Services are provided “as is” and “as available.” We do not guarantee specific outcomes (rankings, traffic, leads, revenue, or conversions) unless explicitly agreed in writing.
8) Limitation of liability
To the maximum extent permitted by law, Host Tropic will not be liable for indirect, incidental, special, consequential, or punitive damages.
Liability cap: Host Tropic’s total liability for any claim related to the Services will not exceed the total amount you paid Host Tropic under the applicable Order.
9) Indemnification
You agree to indemnify and hold Host Tropic harmless from claims arising out of:
- Materials you provide that infringe third-party rights
- Your misuse of the website or Services
- Your products/services and legal compliance obligations
10) Termination
Either party may terminate an Order according to its terms. If an Order does not specify termination, you may terminate with written notice; you remain responsible for payment for all work performed up to termination. Because payments are non-refundable once work begins, termination does not entitle you to a refund.
11) Maintenance and support
Ongoing maintenance/support is provided only if included in an Order or maintenance plan. Otherwise, post-launch updates and support are billed separately.
12) Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Venue will be in [County], Florida, unless otherwise required by law.
13) Changes to these Terms
We may update these Terms by posting an updated version with a new effective date.
